Client Responsibilities

To ensure timely delivery, clients agree to:

  • Provide accurate project requirements, content, and brand assets
  • Respond to feedback requests and approvals within agreed timeframes
  • Supply necessary access credentials for domains, hosting, or third-party tools when required
  • Ensure all provided content is legally owned or properly licensed
  • Make timely payments as per the agreed payment schedule

Delays caused by late feedback, missing content, or incomplete information may extend project timelines without liability on our part.

Project Timelines

Estimated delivery timelines are provided in good faith based on project scope and client responsiveness. Timelines may vary for complex builds, custom integrations, or third-party dependencies.

We will communicate proactively if circumstances arise that may affect the agreed schedule.

Payment Terms

Payment terms are agreed upon before project commencement and may include:

Advance payment requirements

An upfront deposit or advance payment is typically required to reserve project capacity and begin work. Projects will not commence until the agreed initial payment is received.

Milestone payments

Larger projects may be structured with milestone-based payments tied to defined phases such as design approval, development completion, or pre-launch review.

Final delivery payment

Final deliverables, launch access, source files, or ownership transfer may be released upon receipt of the final agreed payment, unless otherwise stated in writing.

Late payments may result in paused work, delayed delivery, or suspension of maintenance services until accounts are settled.

Revisions Policy

Each project includes a reasonable number of revisions as specified in the proposal or quote. Revisions are limited to the agreed scope and do not include major redesigns, new features, or scope changes unless quoted separately.

Additional revisions or out-of-scope requests may be billed at our standard hourly or fixed-rate fees, communicated before work proceeds.

Intellectual Property

All concepts, designs, code, and materials created by NextWave Web Solutions remain our property until full payment is received for the relevant project.

Ownership transfer after full payment

Upon receipt of full and final payment, ownership of the agreed deliverables (such as website design, custom code, and project assets created specifically for the client) transfers to the client, excluding third-party licensed materials, frameworks, plugins, and our proprietary tools or templates not created exclusively for the project.

We reserve the right to display completed work in our portfolio unless a confidentiality agreement states otherwise.

Limitation of Liability

To the fullest extent permitted by law, NextWave Web Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services.

Our total liability for any claim related to a specific project shall not exceed the total amount paid by the client for that project. We do not guarantee specific business outcomes, search engine rankings, or revenue results from website or SEO services.

Cancellation and Refund Policy

Clients may cancel a project by providing written notice. Refunds, if any, depend on work completed at the time of cancellation:

  • Advance payments for work already completed are non-refundable
  • Deposits may be partially refundable only if no substantial work has begun, at our discretion
  • Third-party costs already incurred on behalf of the client are non-refundable

We reserve the right to cancel or refuse service in cases of non-payment, abusive conduct, or requests that violate applicable laws.

Third-Party Costs

Unless explicitly included in a quote, the following costs are the client's responsibility:

  • Domain registration and renewal fees
  • Hosting fees and server costs
  • Premium plugins, themes, stock assets, or paid tools
  • Third-party API, SaaS, or subscription services required for the project

We can advise on or procure third-party services on the client's behalf; such costs will be invoiced separately or paid directly by the client.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in India, unless otherwise agreed in writing.
